Corporate Governance
We recognise the importance of good corporate governance, and we've put in place a framework to ensure we comply, where necessary, with the provisions of the Combined Code.
The company is controlled through a Board of Directors, which comprises two Executive and four Non-Executive Directors. All Non-Executive Directors (other than Nigel Payne) are considered by the Board to be independent of management and free of any relationship which could materially interfere with the exercise of their independent judgement.
Visit our Board of Directors page for biographies of each Director.
Sportingbet’s corporate governance framework includes:
- Terms of reference for the audit, nomination, remuneration and social responsibility committees
- Principles of good boardroom practice
- Schedule of matters reserved for the Board
- Schedule of authorities delegated by the Board
- Statement of the division of responsibilities between the chairman of the Board and the Group Chief Executive
- Policy for the release of information about the company
- Policy on dealing in the company shares
- Policy on whistle-blowing
Additionally, we have a series of internal and external audit controls and policies to ensure all risks we face are identified, evaluated and managed effectively.
